These Terms of Service ("Terms") govern your use of SNRS Co.'s website and services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using SNRS Co.'s services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. Services Description

SNRS Co. provides performance marketing services including but not limited to:

  • Paid advertising campaign management and optimization
  • Conversion rate optimization and testing
  • Audience targeting and segmentation strategies
  • Analytics, reporting, and performance tracking
  • Marketing strategy consultation

The specific scope of services will be detailed in individual service agreements or statements of work.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant necessary access to advertising accounts, analytics platforms, and other required tools
  • Make timely payments as outlined in your service agreement
  • Communicate promptly regarding campaign approvals, changes, or concerns
  • Ensure that all marketing materials comply with applicable laws and regulations
  • Maintain confidentiality of any proprietary strategies or information shared by SNRS Co.

4. Payment Terms

Payment terms will be specified in your service agreement. Unless otherwise stated:

  • Services are billed monthly in advance or as outlined in your agreement
  • Payments are due within 7 days of invoice date
  • Late payments may incur a 5% monthly late fee
  • Services may be suspended for accounts with overdue payments
  • Ad spend budgets are managed separately and billed directly by advertising platforms

5. Performance and Results

While we strive to achieve the best possible results, SNRS Co. does not guarantee specific outcomes, revenue targets, or return on investment. Marketing performance depends on numerous factors including market conditions, competition, product quality, pricing, and external variables beyond our control. Past performance of campaigns does not guarantee future results.

6. Intellectual Property

You retain ownership of your brand assets, content, and materials. SNRS Co. retains ownership of:

  • Proprietary marketing strategies, methodologies, and frameworks
  • Templates, tools, and processes developed by SNRS Co.
  • Aggregated and anonymized performance data

Upon full payment, you receive a non-exclusive license to use campaign assets created specifically for your brand.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement. This includes but is not limited to business strategies, financial information, customer data, and marketing plans. Confidentiality obligations survive termination of services.

8. Termination

Either party may terminate services with 30 days written notice, unless otherwise specified in your service agreement. Upon termination:

  • You remain responsible for payment of services rendered up to the termination date
  • We will provide a final report and transfer of campaign assets
  • Access to advertising accounts and platforms will be returned to you
  • Any prepaid but undelivered services will be prorated and refunded

9. Limitation of Liability

SNRS Co.'s total liability for any claims arising from our services shall not exceed the amount paid by you for services in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, lost revenue, or business interruption.

10. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms. We will notify active clients of material changes via email.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Lithuania. Any disputes arising from these Terms or our services shall be resolved through arbitration or in the courts of Lithuania.
